Technology transfer & spin outs

“The Manches team showed an excellent grasp of the legal and the commercial issues we had to deal with in the course of our funding transactions. They were responsive, combined command of the detail with strategic insight and were able to give clear and pragmatic advice to help us overcome obstacles and deliver the deal we wanted. ” Philip Holbeche, Chairman, Plaxica Limited

Overview

Our specialist corporate, tax, IP/technology, commercial and employment teams have extensive experience in acting on technology transfer matters for spin-out companies, institutions and investors. This means we have a deep understanding of the specific requirements of all sides in a technology transfer situation, and a wealth of experience in advising academics and others involved.

For many of our lawyers, negotiating or advising on investment term sheets, Shareholders’ Agreements, Investment Agreements, EMI/EIS/VCT requirements, SME status for R&D tax credits, licences and assignments of intellectual property rights, collaborative research agreements, confidentiality agreements, and all that goes along with them, is second nature.

We also understand the financial constraints of early stage spin-outs and can offer flexibility in our charges and billing arrangements when agreeing our fees.

These strengths and our choice of London, Reading or Oxford office locations, and the ease of travel between them, mean we are able to offer real flexibility and value for money without sacrificing expertise or convenience when acting for early stage companies.

Our team advises on:

  • Establishment, seed funding and funding rounds
  • Listing or trade sales
  • Share options and incentives
  • Corporate and personal tax, including VCT/EIS/EMI schemes
  • Joint ventures
  • Collaborative research agreements (including EU-funded projects)
  • Securing IPR - including in-licensing of core IP
  • IPR disputes
  • Option and pipeline agreements
  • Consultancy
  • Property requirements
