Delivery of Advanced Network Technology to Europe Limited (DANTE)

We advised DANTE in relation to its first IPR licensing policy, which dealt with IPR being licensed in and out in respect of DANTE’s Geant project, which is financed by the EU. This complex project involved the analysis of the results of an IPR audit carried out by a third party and developing a licensing policy (and drafting template documents) that addressed the needs of DANTE’s pan-European membership. The policy also included a significant element of open source software analysis and the drafting of a bespoke Geant open source licence.

Complex service arrangement

Demica is a global provider of capital management technology and services. We advised Demica in relation to a complex service arrangement with one its clients, a major global investment and retail bank, which involved structuring options to acquire licences to a software-as-a-service solution.  It was the first project of this kind for Demica. 

Contractual issues

SmartFOCUS is a leading international provider of high performance multi-channel marketing software.  The team advised smartFOCUS on a wide range of contractual issues throughout 2010 including in relation to finalising an extensive suite of contractual documentation to enable the company to license and deliver its software across multi-channels and jurisdictions. 

Outsourcing

Wirebird Limited is a provider of IT and communications services. We advised Wirebird in relation to its first major outsourcing project, where Wirebird effectively took over the entire IT asset management function of one of its clients. The project included advising Wirebird in relation to its change of contracting model (from on-site services provider to outsourced service provider) as well as negotiating the outsourcing contract itself.

Services agreements

Babel Media Limited is an award-winning provider of outsourced post-production services in the video games industry and we continue to act for Babel in relation to its contract negotiations with its clients. Apart from day to day contract negotiations, we have also developed a suite of template services agreements for Babel and a standardised contract review process which is designed around Babel’s corporate governance requirements.

Telecoms contracts

Arieso Limited is a services provider to the telecommunications industry, supplying software and software related services to achieve better network performance. We have been advising Arieso in relation to its contract negotiations with telecommunications companies (network infrastructure providers as well as operators) and are engaged to update Arieso's standard suite of licence agreements and commercial agreements.

Licencing agreements

Investment Property Databank provides software-related services to the owners, managers and developers of real estate. We advised IPD in relation to its licence of a major software enterprise licence.
